Terms of Sale and Use

The terms governing the sale and use of the software published by Adalense, including SmartRouting.

Last updated: October 2026

1. Publisher identification

The Service, defined in article 2, is published by ADALENSE, a French simplified joint-stock company (SAS) with share capital of €5,000, registered with the Nantes Trade and Companies Register under number 105 088 306, with registered office at 10 chemin de la Châtaigneraie, 44240 La Chapelle-sur-Erdre, France. Hereinafter "ADALENSE".

2. Definitions

"Customer": any individual or legal entity taking out a Subscription to the Service. "User": an individual authorized by the Customer to use the Service. "Software": any software published by ADALENSE and offered on subscription, including SmartRouting. The Software is supplied as a plugin for Autodesk Revit (the "Revit plugin"), shared by all Software. "Module": a feature of a Software, enabled by the Customer's license according to the plan and Options subscribed. "Option": a Module offered on top of a plan and subscribed within the same Subscription. "Service": the Software, the Revit plugin, the associated cloud services, updates, documentation and the customer portal. "Seat": a right to use the Revit plugin, either named (assigned to a User) or floating (shared between Users, up to a number of simultaneous uses). "Cloud mode": deployment in which licenses are issued by ADALENSE's online services. "On-Premise Deployment": deployment in which licenses are issued by a license server installed and operated by the Customer on its own network, from an entitlement file (".lic file") signed and supplied by ADALENSE. "Subscription": a contract granting access to the Service for a set term; it is the only basis on which the Service is licensed. "Customer Data": all data, files or information transmitted or generated by the Customer through the Service.

3. Acceptance

Any order, subscription or use of the Service implies full and unreserved acceptance of these Terms of Sale and Use.

4. Order and account creation

Subscriptions are made online via the customer portal. The Customer undertakes to provide accurate, complete and up-to-date information. The Customer is solely responsible for the confidentiality of its credentials, for the use of its account and for actions taken under its access. Each User using the Revit plugin must hold a valid seat. Quote-based offers, including the Enterprise plan and On-Premise Deployment, are entered into on the basis of the accepted quote or signed contract, which prevails over these terms in the event of conflict.

5. Plans and pricing

The features of the plans and Options, and their prices, are published on ADALENSE's website (adalense.com). An Option complements the plan of the Subscription it is added to: it applies to all seats of that Subscription and is billed in addition, at the published price, for each of them. Prices are stated excluding tax; applicable taxes are billed in addition in accordance with the regulations in force. ADALENSE may change its prices at any time; new prices apply only at the next renewal of the Subscription.

6. Billing and payment

Payments are made via Stripe or any other approved provider. Unless stated otherwise: subscriptions are payable in advance; amounts paid are non-refundable; any period started is due in full. Seat additions or plan changes mid-period may be invoiced on a prorated basis. An Option added mid-period takes effect immediately and is invoiced pro rata for the remaining period; an Option removed takes effect at the end of the paid period, with no refund. Any late or missing payment entitles ADALENSE to immediately suspend access to the Service until settlement. For quote-based offers, billing and payment terms are those of the quote or contract.

7. Term — renewal — termination

The Service is licensed exclusively on a Subscription basis; no perpetual license is granted. The Subscription is entered into for the term chosen at order; a multi-year commitment may be agreed by quote. Unless terminated before its expiry, the Subscription renews automatically for an identical period. The Customer may disable automatic renewal from the customer portal. Termination takes effect at the end of the current period. No refund is made for a period already started.

8. Free trial

ADALENSE may offer, for each Software, a time-limited free trial; its length and the Modules it enables are shown before it starts. The trial does not necessarily require a payment method. One free trial per Software and per Customer is allowed; ADALENSE reserves the right to refuse any new trial in the event of circumvention of this limitation, and may grant or extend a trial at its discretion. At the end of the trial, the Modules on trial are suspended until a Subscription that includes them is taken. Taking a Subscription ends the trial of only the Modules it includes; the trial of the other Modules continues until it ends.

9. License to use

Subject to full payment of the sums due, ADALENSE grants the Customer a non-exclusive, non-transferable, non-assignable license, revocable in the event of breach of these terms. The Customer shall not, in particular, copy or reproduce the Service, resell or sublicense it, reverse engineer it, circumvent security or licensing mechanisms, or attempt to access the source code. In an On-Premise Deployment, the .lic file is specific to the Customer: it may only be used on the license server for which it was issued (where applicable, bound to the machine hosting it), and may not be copied to another server or shared with a third party. The number and type of seats, the Modules and the term of the right of use, which is that of the Subscription, are those recorded in the .lic file and the contract; at expiry without renewal, the .lic file no longer issues licenses.

10. Intellectual property

The Service, software, algorithms, models, interfaces, documentation, trademarks, logos and associated content remain the exclusive property of ADALENSE or its licensors. No intellectual property right is transferred to the Customer.

11. Availability, support and deployment

ADALENSE uses reasonable means to ensure the availability of the Service. The Service may be temporarily interrupted for maintenance, updates, security reasons or technical constraints. Software updates released during the term of the Subscription are included in it. Cloud mode requires an active Internet connection; a local cache mechanism may allow temporary offline operation depending on the features subscribed. Support terms depend on the chosen plan. In an On-Premise Deployment, the issuing of licenses depends on the Customer's license server: its installation on a machine meeting the prerequisites of the documentation, its hosting, availability, security and backups, and the safekeeping of the .lic file, are the Customer's responsibility. A workstation using a floating seat only works for a limited time without reaching that server. The license server makes no connection to ADALENSE; any change to the rights (seats, Modules, term) requires a new .lic file.

12. Automation features and artificial intelligence assistants

Some Modules let the Customer create its own applications in Revit, or have an artificial intelligence assistant of its choice act on its models. These features give access to the Revit programming interface and may in particular modify, save or close a project: the Customer uses them under its own responsibility, tries them on a test project first and keeps backups of its projects. Applications created by the Customer or its assistant are the Customer's responsibility; ADALENSE does not warrant their results or their fitness for a purpose. The artificial intelligence assistant is not provided by ADALENSE: its use is governed by the terms of its publisher, to which the project data the assistant reads is sent. The Customer reports to ADALENSE any defect found in these features.

13. Customer Data

The Customer remains the owner of its Customer Data and warrants that it holds all necessary rights to the data transmitted. ADALENSE acts solely as a software provider. The Customer remains responsible for backing up its data and projects.

14. Personal data

ADALENSE processes personal data in accordance with its Privacy Policy and the General Data Protection Regulation (GDPR). Where ADALENSE acts as a processor, the parties enter into a Data Processing Agreement (DPA) compliant with Article 28 of the GDPR. The plugin sends ADALENSE aggregated usage statistics (uses of each module per day, versions), with no project data; ADALENSE processes them as controller. In an On-Premise Deployment, each workstation sends them directly to ADALENSE, identified by the .lic file and by a pseudonymous workstation identifier, with no User name or email address; the Customer may turn this off when installing the plugin (property USAGEREPORTING=0), with no effect on its licenses. Details are in article 5 of the plugin license agreement and in the Privacy Policy.

15. Suspension

ADALENSE may suspend all or part of the Service in the event of non-payment, breach of these terms, misuse, or a threat to the security or integrity of the Service. In an On-Premise Deployment, at the end of the contract or in the event of suspension, the Customer stops using the license server and deletes the .lic file.

16. Liability

ADALENSE is bound by a best-efforts obligation. ADALENSE's total liability is limited to the amount actually paid by the Customer over the twelve (12) months preceding the triggering event. ADALENSE shall not be liable for indirect damages, including: loss of revenue, loss of profits, loss of data, loss of operation, commercial harm or damage to reputation.

17. Force majeure

Neither party shall be liable for a failure resulting from a force majeure event within the meaning of Article 1218 of the French Civil Code.

18. Amendment of the Terms

ADALENSE may amend these Terms at any time. Substantial changes will be brought to the Customer's attention before they take effect. The new Terms will apply at the next renewal of the Subscription.

19. Right of withdrawal

Where the Customer acts in a professional capacity, no right of withdrawal applies. For consumers, the statutory 14-day period applies in accordance with the French Consumer Code.

20. Governing law and jurisdiction

These Terms are governed by French law. For any dispute between professionals, exclusive jurisdiction is granted to the courts of Nantes, including in the event of multiple defendants or third-party proceedings. The parties shall first endeavour to resolve any dispute amicably.
